1. Purpose

The purpose of this Agreement is to establish the terms under which the Ambassador may purchase and resell Princippeza Skincare products at wholesale pricing and represent the brand professionally.

2. Appointment

The Company appoints the Ambassador as a non-exclusive Retail Beauty Ambassador.
This Agreement does not create employment, partnership, or joint venture status.

The Ambassador operates as an independent reseller.

3. Wholesale & Orders

• Minimum Order Quantity (MOQ): 24 units per order
• Lead Time: 1–2 weeks (unless otherwise stated)
• Payment must be made in full before production/shipment
• All sales to Ambassador are final

The Company reserves the right to adjust wholesale pricing with notice.

4. Pricing & Resale

The Ambassador agrees:

• Not to sell below suggested retail price (unless approved for promotions)
• Not to misrepresent products or ingredients
• Not to alter product labels or branding
• Not to repackage products without written permission

Brand integrity must be maintained at all times.

5. Marketing & Representation

The Ambassador agrees to:

• Represent Princippeza Skincare professionally
• Maintain a positive brand image
• Use approved logos and marketing materials
• Comply with all advertising laws

False claims or misleading medical claims are strictly prohibited.

6. Intellectual Property

All trademarks, branding, product names, and materials remain the exclusive property of Princippeza Skincare.

Ambassador may not:

• Copy formulas
• Reproduce branding
• Create duplicate products under a different name

7. Territory

This Agreement is non-exclusive and does not grant territorial protection unless otherwise agreed in writing.

8. Term & Termination

This Agreement begins on the signing date and continues unless terminated.

The Company may terminate this Agreement if:

• Brand guidelines are violated
• Products are misrepresented
• Payment obligations are not met
• Conduct damages the brand reputation

Upon termination, wholesale privileges are revoked.

9. Liability

The Ambassador agrees to operate their business legally and obtain any required permits or licenses.

The Company is not responsible for:

• Resale tax obligations
• Business insurance of Ambassador
• Indirect or consequential damages

10. Confidentiality

Wholesale pricing, product sourcing, and business strategies are confidential and may not be shared publicly or with competitors.

 

11. Governing Law

This Agreement shall be governed by the laws of:
